Puma Investments - Property Investment Adviser 1

Property Investment Advisory Arrangements

The Company’s property investment adviser is Puma Investment Management Limited (“Puma Investments”), authorised and regulated by the Financial Conduct Authority and a subsidiary of the Shore Capital group of companies.

 

The asset management division of Shore Capital, including Puma Investments, has a long and successful track record of investing in property and property-related schemes, dating back to the launch of Puma Property in 2002 which achieved an IRR of close to 40 per cent. per annum. Its track record in fund management in the smaller companies’ arena is now 20 years.

 

It currently manages five Venture Capital Trusts (“VCTs”) which specialise in property and construction related deals. Puma Investments also manages a discretionary portfolio service invested in seven specialised EIS companies (four focused on construction, two on pubs and a garden centre retail business) and advises Heritage Square, a specialist property lender. An affiliate within the group is the property adviser to two investment property funds in Germany, Puma Brandenburg and Brandenburg Realty. In total the fund management group has around £900 million under management and has a large dedicated group of around 45 investment and property professionals.

 

Puma Investments’ Track Record and Deal Flow in the Care Sector

Puma Investments has substantial experience in the care sector having been involved in the construction and development of 14 homes for adults with learning difficulties, twelve of which have been completed. It has been similarly involved in seven care homes for the elderly, two of which have been completed and five of which are in construction.

 

Puma Investments has strong deal flow in the relevant sectors, including supported living properties and care homes for the elderly. Puma Investments has the platform to assist the Company in executing the investment strategy, working with experienced developers who have a strong track record experience of developing quality assets in these sectors of the property market.

Tony Throp

INVESTMENT MANAGER

David graduated from Oxford with a degree in law and was called to the Bar in 2000. He practised as a barrister at a leading London set of chambers for ve years, specialising in advising on a range of complex commercial legal issues with a particular focus on nancial investments and real estate.

 

He joined Shore Capital in January 2006 as Deputy General Counsel and in 2011 became Commercial Director and General Counsel for Shore Capital Group Limited.

 

In 2012 David was appointed CEO of the asset management division of Shore Capital and Puma Investments.

 

Over the last 10 years at Shore Capital, David has been particularity involved with the acquisition, nancing and asset management of real estate assets in UK and Germany, including residential, retail, hotel and commercial properties. 

Tony graduated with a rst in Chemical Engineering from the University of Birmingham.

Prior to joining Puma Investments in 2012, Tony spent several years at PriceWaterhouseCoopers in both the Debt Advisory and Corporate Finance team where he advised on over $20 billion of transactions.

Tony then joined the M&A division at RBS where he worked across a variety of sectors including retail, telecoms and utilities.

Since joining Puma Investments, Tony has executed multiple transactions in the supported living and care sectors. 

Graham Shore

CHAIR OF THE INVESTMENT COMMITTEE

Graham was previously a government economist and then a management consultancy partner at Touche Ross (now Deloitte) where he undertook strategic and economic assignments for a wide range of clients.

 

In 1990 he joined the Shore Capital Group as managing director, and has been involved in advising and managing funds since 1996, including and approving evaluating new deals. 

 

Graham has been involved with AIM since its inception as both a corporate financier and investor and with private equity for more than 20 years.

 

Since the launch of the first Puma VCT in 2004/5 he has increasingly specialised in property and property related investments for the VCTs, including developments in the social care sector. 

 

He is a director of the five current Puma VCTs.

Alice Myers 

INVESTMENT DIRECTOR

Alice has sixteen years’ banking experience and joins Puma from Bank of London and the Middle East, where she was Head of Real Estate.

 

Before moving to specialise in the real estate market she worked in Credit Risk at Morgan Stanley International, and UFJ International having trained as a graduate with the Bank of England.

 

Alice graduated from Oxford University.

Katherine Woodfine

INVESTMENT MANAGER

Katherine began her career on the Graduate Trainee Programme at the equities exchange, Chi-X Europe, before settling into her role as a Corporate Finance

 

Analyst, working directly on the merger with BATS Trading Limited.  She joined Puma Investments in January 2015, from the Risk division of RBS, where she focused on capital requirements and stress testing.

 

Katherine is an Investment Analyst, supporting the Investment Team in sourcing, transacting and monitoring deals. Katherine is a CFA charterholder.

 

She graduated with a first in Finance, Accounting and Management from the University of Nottingham.

Simon Clements

NON-EXECUTIVE DIRECTOR

Simon Clements graduated from Hull University with a degree in accounting in 1994 and qualified as a Chartered Accountant with Horwath Clark Whitehill in 1998, where he worked in the corporate finance department from 1998 to 2000.

 

He has over 16 years’ of investment banking experience with Allenby Capital Limited (“Allenby Capital”) and Sanlam Securities UK Limited (“Sanlam”) (formerly John East & Partners Limited and Merchant Securities plc).

 

During his time at Allenby Capital and Sanlam, he was the Qualified Executive with primary responsibility for SIPP.

 

On 30 June 2016, he left Allenby Capital to take up the role of Group Finance Director at Squibb Group Limited. 

John qualifed as a Chartered Accountant with BDO in 1996 and was made a Partner of the firm in 2000

He has acted as auditor and adviser to the Boards of a wide range of businesses including major international hotel groups, serviced office portfolios and retail & leisure operators with substantial real estate footprints

Since leaving BDO, John has taken up a number of non-executive directorships:

INPP; a FTSE 250 infrastructure group that develops, builds and operates significant real estate assets globally

  Market Tech Holdings; a listed real estate group on the main market of the London Stock Exchange

  AUB Pan Asian Investment Fund; a GFSC-regulated fund investing in real estate assets across pan-Asia

  AUB Investment Funds PCC; a GFSC-regulated feeder fund into Prime London Residential Fund II managed by Savills 

Lynn qualified as a Chartered Accountant with KPMG in 1985

She has worked in various finance roles at Security Pacific Corporation, Leasing Corporation Plc and AT&T Capital

Following this, she was at Stenham Ltd as CFO and Company Secretary from 1998 until 2009

Stenham’s operations included the management of a £2bn commercial and residential property portfolio

Since leaving Stenham, Lynn has been appointed to various executive and non-executive directorships:

- Shore Capital Group, an AIM-listed investment group specialising in principal finance, equity capital markets and alternative asset management - The Company’s investment manager, Puma Investment Management Limited, is a subsidiary of the Shore Capital group of companies.

 

Brandenburg Realty, a €150m fund investing in German real estate 

She has lived in the Channel Islands for the last 18 years.

After gaining experience within various roles, he was appointed as Head of Partnerships and Development at the Caring Homes Group between 2007 and 2013. Following this, he joined Horizon Care and Education Group as Director of Operations

Alongside his JV relationship with SIPP, he is currently Head of New Build Development at the Lifeways Group as well as running his own children’s care consultancy business, Fern Children’s Care Group 

Mark graduated with an MA in Management & Organisational Learning from University of the West of England in 1998. He is a qualifed Social Worker.

Mark Dyson

SIPP has entered into a joint venture agreement with Mark Dyson, a specialist in the childrens’ care sector, whose biography is beside. They formed a newly incorporated company, Secta Limited, owned by the Company and Mark Dyson.  Mark Dyson will identify properties in targeted education and healthcare sectors for Secta Limited or one of its wholly owned subsidiaries to acquire.

Accommodation

Puma Investments has also identified opportunities to invest in residential property to be used to supply short term accommodation for local authorities to enable them to meet their housing obligations. The Company has agreed to work in partnership in this area with an established operator with strong local authority relationships and experience. Although individual lettings might well be short term, demand is strong and occupancy rates are high.  The biography of one of the principals in the joint venture, Mark Goodkind, is beside.

​In 2005, he set up Licensed Carriage Hire, a company which currently has a eet of 120 vehicles and is official Partner to Mercedes Benz and BMW before founding a claims management company in 2007

He has been working in the short-term accommodation sector since 2015 and currently manages over 500 properties 

Marc worked for a property fund called Wetnork Residential between 2000 and 2010, in sole charge of purchasing residential rental property, in excess of 60 properties within the M25
